The project the RA will work on relates to a technique that is becoming more common in commercial agreements—namely, leaving parts of the contract unspecified at the time of contracting and delegating decision making and the right to set the unagreed terms to a team of employees from both sides of the transaction. These teams operate under detailed rules covering agenda control, voting, who may be present, the information to be exchanged and more. The RA will assist in the hunt for these contracts, discuss them with the professor, and file freedom of information requests with the Securities and Exchange Committee, and help develop a coding method for the contracts when they are received. Additional work funded by the Law school on the management and sociology of teams (the nonempirical part of the project is also available). Professor Bernstein did her BA in econ at UChicago and welcomes the chance to work with an undergraduate.
